Acceptance of These Terms

These Terms of Use (“Terms”) govern your access to and use of flip*, including our website, mobile applications, community features, coaching services, educational content and related services (collectively, the “Services”).

The Services are operated by Long Game Labs Pty. Ltd. (“Long Game Labs”, “we”, “our” or “us”).

By creating an account, accessing, or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Services.

Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Services.

By using the Services, you represent that you meet these requirements.

Nature of the Services

flip* provides educational, behavioural, wellbeing, self-management, symptom-management, coaching and community support tools.

The Services are intended to support users in learning, reflection, behaviour change, self-management and personal development.

The Services are not intended to diagnose, treat, cure, prevent or manage any disease, disorder or medical condition.

No Medical Advice

The Services do not provide medical advice.

Information made available through flip*, including educational content, community content, coaching interactions, AI-generated content, recommendations, insights, tracking tools, assessments, questionnaires and other materials, is provided for general informational and educational purposes only.

Nothing within the Services should be interpreted as:

• Medical advice
• Psychological advice
• Psychiatric advice
• Diagnosis
• Treatment
• Clinical assessment
• Crisis intervention
• Emergency support

Use of the Services does not create a doctor-patient, psychologist-client, psychiatrist-patient, therapist-client, counsellor-client, fiduciary, or any other professional, clinical, therapeutic or healthcare relationship between you and Long Game Labs, its directors, employees, contractors, moderators, advisors, or any automated functionality made available through the Services. Any coaching services provided through the Services are subject to these Terms and are intended to provide education, support and accountability only, and do not constitute healthcare or clinical services.

You should always seek advice from appropriately qualified professionals regarding your individual circumstances.

Health Information and User Responsibility

You acknowledge and agree that:

• flip* does not diagnose medical conditions.
• flip* does not prescribe treatment.
• flip* does not provide emergency care.
• flip* does not replace healthcare professionals.
• flip* does not monitor your health status in real time.
• flip* does not guarantee review of symptom reports, reflections, journal entries, questionnaires, community posts or messages.

You remain solely responsible for:

• Decisions regarding your healthcare
• Seeking medical treatment
• Seeking emergency assistance
• Seeking crisis support
• Medication decisions
• Treatment decisions
• Healthcare provider relationships
• Decisions made based on information available through the Services

Any action you take based on information obtained through the Services is taken at your own discretion and risk.

Important Safety Notice

The Services are not designed, intended or operated as:

• An emergency service
• A crisis service
• A suicide prevention service
• A mental health hotline
• An emergency monitoring service
• A clinical monitoring service
• A risk detection service

The Services are not monitored continuously.

Long Game Labs does not guarantee that any content, report, message, symptom entry, reflection, questionnaire response or user communication will be reviewed within any particular timeframe.

Moderators, coaches, support staff and automated systems may not review content immediately, or at all.

Community Features

The Services may include community features, including discussion spaces, groups, comments, reactions, direct messaging and other user-generated content.

Community content is created by users and does not represent the views of Long Game Labs. Community content may be:

• Inaccurate
• Incomplete
• Misleading
• Inappropriate
• Offensive
• Outdated

You acknowledge that Long Game Labs does not verify or endorse community content. You are solely responsible for content you create, post, upload or share.

Direct Messaging

The Services may permit users to communicate through direct messaging or similar communication tools.

Long Game Labs does not guarantee privacy, monitoring or review of direct communications. We reserve the right to access, preserve, review or disclose communications where reasonably necessary to:

• Protect users
• Investigate misconduct
• Enforce policies
• Comply with legal obligations
• Protect the integrity of the Services

Coaching Services

Where coaching services are offered, coaching is intended to provide education, support, accountability and behaviour change assistance.

Coaching is not:

• Medical treatment
• Psychotherapy
• Psychiatric care
• Crisis intervention
• Emergency support

Coaches are not emergency responders. You remain responsible for obtaining appropriate healthcare and professional support.

Recording and Documentation

Certain coaching sessions, interviews, user research sessions, feedback sessions and support interactions may be transcribed or summarised for operational, training, quality assurance, research and product development purposes.

Long Game Labs may utilise artificial intelligence systems and third-party tools to assist with note-taking, transcription, summarisation and documentation. By participating in these activities, you consent to these practices as described in the Privacy Policy.

Artificial Intelligence

The Services may utilise artificial intelligence, machine learning systems and automated technologies.

AI-generated outputs may contain errors, inaccuracies, omissions or content that is not appropriate for your circumstances.

AI-generated outputs are probabilistic in nature and are generated based on patterns identified from data rather than certainty or independent reasoning. As a result, similar or identical inputs may produce different outputs at different times, and responses should not be relied upon as complete, definitive or error-free.

You should independently evaluate any information generated by automated systems. You remain responsible for decisions you make based on information or outputs provided through the Services, including AI-generated content.

Long Game Labs does not guarantee the accuracy, completeness or suitability of AI-generated outputs.

Long Game Labs may modify, replace, update or discontinue the artificial intelligence technologies used within the Services at any time, including by changing underlying models, third-party providers, prompts, system architecture or functionality.

AI-generated features and functionality may evolve over time as Long Game Labs develops and improves the Services. Long Game Labs does not guarantee that any particular AI functionality, feature or model will remain available or operate in the same manner over time.

Acceptable Use

You agree not to:

• Harass, threaten or abuse others
• Impersonate another person
• Provide false information
• Upload unlawful content
• Infringe intellectual property rights
• Distribute malware or harmful code
• Interfere with platform operations
• Attempt unauthorised access
• Use the Services for unlawful purposes

Moderation Rights

Long Game Labs may, at its sole discretion, investigate conduct and take moderation action where reasonably necessary. Moderation actions may include:

• Content removal
• Content editing
• Account restrictions
• Temporary suspension
• Permanent account termination
• Reporting to relevant authorities where required
• Preserving content, user information or other records where reasonably necessary to investigate misconduct, protect users, comply with legal obligations or respond to lawful requests from regulators, law enforcement agencies or courts

Long Game Labs may cooperate with regulators, law enforcement agencies and other competent authorities where required or permitted by law. Moderation decisions may occur without prior notice.

User Content

You retain ownership of content you submit through the Services.

By submitting content, you grant Long Game Labs a worldwide, non-exclusive, royalty-free licence to use, store, reproduce, modify, display, distribute and analyse that content for the purposes of operating, improving, securing and developing the Services for the duration necessary to operate, improve and develop the Services.

Effect of Account Deletion

If you delete your account, your right to access and use the Services will immediately cease. Any active subscription associated with your account will be cancelled, and your access to paid features will end when your account is deleted. Account deletion is permanent and cannot be reversed.

Subject to applicable law and our Privacy Policy, Long Game Labs may retain information where reasonably necessary to:

• Comply with legal or regulatory obligations
• Maintain financial, taxation and accounting records
• Resolve disputes or enforce these Terms
• Investigate or respond to safety, security or moderation matters
• Detect or prevent fraud, abuse or other unlawful activity
• Conduct research, analytics or product improvement using de-identified or aggregated information
• Protect the security, integrity and operation of the Services

Content that you have shared with other users (such as Community posts or comments) may remain visible after your account is deleted where removal is not reasonably practicable, although your account information may be removed, anonymised or de-identified where appropriate.

Where information has already been de-identified or incorporated into aggregated research, analytics or product development datasets, it may continue to be used because it can no longer reasonably be linked back to you.

Payment and transaction records may also be retained where required to comply with legal, taxation, accounting or regulatory obligations.

Any licence granted by you to Long Game Labs in relation to user content will continue only to the extent reasonably necessary for the purposes described in these Terms and the Privacy Policy.

Feedback

If you provide feedback, suggestions, ideas or recommendations, you grant Long Game Labs the unrestricted right to use that feedback without compensation or attribution.

Beta Features

The Services may include alpha, beta, pilot, preview or early-access features. You acknowledge that beta features:

• May be incomplete
• May contain bugs
• May change without notice
• May be discontinued without notice
• May not function as intended
• May have features added, removed or substantially changed at any time
• May experience interruptions, temporary unavailability or unexpected behaviour
• May require certain beta functionality, settings or data to be modified or reset
• May not be compatible with previous versions of the Services or previously generated data

Long Game Labs may modify, suspend or discontinue beta features, end or vary beta programs, or limit participation in beta programs at any time and without prior notice.

Where reasonably practicable, Long Game Labs intends to preserve user accounts and associated information as the Services transition from beta to general release. However, we reserve the right to modify, migrate, reset or remove beta data, functionality or accounts where reasonably necessary for technical, operational, security or legal reasons.

Long Game Labs makes no representations regarding the performance, availability or continued operation of beta features. Feedback provided during beta testing may be used without restriction or compensation.

Research Participation During Beta Programs

Users participating in alpha, beta, pilot or testing programs may be invited to participate in interviews, surveys, feedback sessions, usability testing or other research activities.

Information collected through these activities may be transcribed, analysed and used to improve the Services, develop future features, validate product effectiveness and support research activities.

Participation in additional research activities will remain voluntary unless otherwise agreed.

Third-Party Services

The Services may integrate with third-party services. Long Game Labs is not responsible for the availability, accuracy, security or practices of third-party services. Your use of third-party services is governed by their own terms and policies.

Intellectual Property

All intellectual property rights relating to the Services, including the software, content, designs, interfaces, workflows, prompts, prompt engineering, personalisation methodologies, behavioural frameworks, datasets, documentation and other materials comprising the Services, together with any enhancements, improvements or modifications to them, remain the property of Long Game Labs or its licensors.

Except as expressly permitted by these Terms or by law, no part of the Services may be copied, reproduced, modified, distributed, reverse engineered, decompiled, disassembled or otherwise exploited without the prior written consent of Long Game Labs.

Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis. Long Game Labs makes no warranty that:

• The Services will be uninterrupted
• The Services will be error-free
• The Services will meet your expectations
• The Services will achieve any particular outcome

Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded under the Australian Consumer Law or other applicable legislation. We do not guarantee continuous availability of the Services.

Limitation of Liability

To the maximum extent permitted by law, Long Game Labs, its directors, officers, employees, contractors and affiliates will not be liable for:

• Decisions made by users
• Healthcare decisions
• Treatment decisions
• Failure to seek professional assistance
• User-generated content
• Community interactions
• Coaching interactions
• AI-generated content
• Service interruptions
• Data loss
• Indirect, incidental, consequential or special damages

Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded under the Australian Consumer Law or other applicable legislation. Where liability cannot be excluded by law, liability is limited to the maximum extent permitted by law.

Indemnity

You agree to indemnify and hold harmless Long Game Labs, its directors, officers, employees, contractors and affiliates from claims, losses, liabilities, damages, costs and expenses (including reasonable legal costs) arising out of or in connection with:

• Your breach of these Terms
• Your unlawful, fraudulent, negligent or wilful conduct in connection with the Services
• Any content you submit, post or otherwise make available through the Services that infringes the rights of a third party
• Your misuse of the Services

Suspension and Termination

Long Game Labs may suspend or terminate access to the Services at any time where reasonably necessary, with or without notice, to:

• Protect users
• Protect platform integrity
• Enforce these Terms
• Comply with legal obligations

Changes to the Services

We may modify, suspend or discontinue any aspect of the Services at any time. We are not liable for any modification, suspension or discontinuation.

Changes to These Terms

We may update these Terms from time to time. Material changes may be notified through the platform or by email.

Continued use of the Services after any update constitutes acceptance of the revised Terms.

Force Majeure

Long Game Labs will not be liable for any delay or failure to perform its obligations under these Terms to the extent that the delay or failure is caused by an event beyond its reasonable control, including natural disasters, pandemics, acts of government, war, civil unrest, industrial disputes, failures of telecommunications or internet services, cyberattacks, failures of third-party service providers, or interruptions to electricity or other essential utilities.

Long Game Labs will use reasonable efforts to minimise the effects of any such event and resume normal operation of the Services as soon as reasonably practicable.

Assignment

Long Game Labs may assign, transfer, novate or otherwise deal with its rights and obligations under these Terms without your consent in connection with a corporate restructure, merger, acquisition, sale of assets, financing transaction or sale of all or part of its business.

You may not assign, transfer or otherwise deal with your rights or obligations under these Terms without the prior written consent of Long Game Labs.

Entire Agreement

These Terms constitute the entire agreement governing your use of the Services. The Privacy Policy forms part of these Terms.

Severability

If any provision is found invalid, the remainder of these Terms continues.

Governing Law

These Terms are governed by the laws of the Australian Capital Territory, Australia.

Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Australian Capital Territory.
